Aaron is partner in the Business Practices group.
Aaron focuses his practice on counseling private equity funds, their portfolio companies and public and private companies in connection with their critical business transactions. These include, among others, mergers and acquisitions (M&A), joint ventures, equity financings and long term complex commercial arrangements. His clients participate in a broad array of industries, including payments, telecom, building products, manufacturing, consulting, technology and media.

Aaron also routinely advises clients in connection with their cross border acquisitions or reorganizations. Aaron has developed a truly global practice and routinely works with the Eversheds teams in Europe, Asia and the Middle East to develop solutions for clients to achieve their business goals.  

Before joining Eversheds Sutherland (US), Aaron worked in the Corporate group of a major national law firm. Prior to law school, Aaron served as a consumer economic risk analyst at a multinational banking and financial services corporation.
  • Represented OTR Solutions in its acquisition of Epay Manager, a carrier payments platform which allows freight brokers to reduce costs and increase efficiencies of their back-office operations, while providing a new level of transparency to their carrier, factor, and shipper partners.
  • Advised the Safran Group on its sale of Safran Aerosystems Arresting Company (SAA), a designer and manufacturer of military aircraft emergency arresting systems, to Curtis-Wright Corporation for $240 million in cash.
  • Represented ITC Infotech in its strategic partnership with PTC, Inc. pursuant to which ITC Infotech purchased the Product Lifecycle Management (PLM) business from PTC and acquired a portion of PTC’s PLM implementation services business, DxP services.
  • Represented an international property casualty insurer in its strategic equity investment in and related documentation for a peer-to-peer car sharing marketplace in the United States and elsewhere.
  • Represented an international property casualty insurer in its strategic equity investment and related documentation in a telematics insurer
  • Represented EC English in the acquisition by Study Group USA Inc. of 100% of the issued and outstanding capital stock of EC Higher Education, Inc.
  • Represented BrandSafway LLC, a subsidiary of Brand Industrial Services, Inc., in the acquisition of all of the issued and outstanding stock of Century Elevators, Inc.
  • Represented TRP Construction Group, a leading provider of traffic control solutions, in its acquisition of Tolle Roads, LLC.
  • Represented SSM Partners in its acquisition of Kukui Corporation.
  • Represented TRP Construction Group in the acquisition of 100% of the issued and outstanding membership interests of Southern States Pavement Markings, LLC.
  • Advised GMS, Inc., the largest distributor of wallboard and related building materials in the US, on its acquisition of WSB Titan, Canada’s leading independent building supplies dealer.
  • Represented a wastewater treatment company in the acquisition of three wastewater treatment facilities.
  • Represented Interior Logic Group subsidiary ​Tile-It Industries, Inc. in the purchase of substantially all the assets of Sterling Purchasing Corp.
  • Represented a client in the acquisition of three Class II saltwater disposal wells.
  • Represented an investment fund in the purchase of membership interest in an optometry business.
  • Represented a leading media company in the sale of two newspapers and related media assets in Florida.
  • Represented a leading media company in the sale of five newspapers and related media assets in Texas.
  • Represented Willis Towers Watson in the acquisition of its usage-based insurance (UBI) assets by Octo Telematics, the leading global provider of telematics for the auto insurance industry.
  • Represented Willis Towers Watson, a global risk management, insurance brokerage and advisory company, in the sale of a portion of its program businesses to AmWINS.
  • Represented MSouth Equity Partners in its acquisition of TRP Construction Group, a leading provider of thermoplastic striping, painting and markers, rumble strips, and traffic control services.
  • Represented private equity fund as deal counsel in its successful bid and acquisition of four coal-fired power plants totaling 1200 MW of generation capacity in New Jersey, West Virginia and Arkansas including back leverage financing to support the acquisition.
  • Represented a multinational technology services firm in the acquisition of a company that specializes in the development of applications and point-of-sale software for the restaurant industry.
  • Represented Interior Logic Group, a portfolio company of MSouth Equity Partners that provides customer-focused design and construction services, in its sale to Platinum Equity.
  • Represented Ohio-based Lube Stop, a private equity firm’s portfolio company, in its sale to Driven Brands..
