Daren advises US and international insurance companies on a wide range of insurance regulatory and corporate matters.

Daren advises property/casualty and life insurance company clients on regulatory compliance, insurance and reinsurance transactions and corporate governance matters. 

He advises his clients on a wide range of regulatory issues, including formation and licensing of insurers and insurance intermediaries, market conduct, compliance with state insurance laws governing non-admitted insurance, redomestications, the Holding Company Act, credit for reinsurance, investment law compliance and regulatory issues related to Insurtech. He also represents his clients in connection with internal investigations and regulatory enforcement actions.

  • Represented Mutual of America Life Insurance Company, a New York domestic mutual life and annuity insurer, on its acquisition of 100% of the stock of Grandmark Funds, Inc. and its wholly owned subsidiary, Landmark Life Insurance Company.
  • Represented Empower in its acquisition of MassMutual’s retirement services business for a total transaction value of $3.35 billion.
  • Represented Empower in its acquisition of Prudential’s retirement plan business for a total transaction value of $3.55 billion.
  • Advised Symetra Financial Corporation on the sale of its wholly owned subsidiary, Medical Risk Managers, Inc., a managing general underwriter and health care consulting firm, to BCS Financial Corporation.
  • Represented Munich American Reassurance Company and Munich Re New Ventures in establishing Parachute Digital Solutions, an end-to-end insurance platform for digital marketing and sale of insurance products throughout the US.
  • Advised Nationwide Mutual Insurance Company on a joint venture transaction with Generali, one of the largest international insurance and asset management providers headquartered in Italy.
  • Advised the Insurtech/innovation unit within a global insurance group on strategic alliances and joint ventures with Insurtech startups.
  • Advised an Israel-based startup that purchases and resells booked hotel rooms via an internet platform on insurance regulatory aspects of certain guarantees offered to customers.
  • Represented a global insurance group on the expansion of a web-based insurance platform for the sale of life, accident and property/casualty insurance products to the US market.
  • Represented a global insurance group in the purchase of a managing general agency to access the agency’s proprietary rating model.
  • Resolved a five-year international investigation on behalf of a global insurer concerning the insurer’s potential liability to the US Department of Justice in connection with cross-border sales of life insurance products by its non-US operating companies.
  • Advised Royal & Sun Alliance Insurance plc, a leading international insurance group, on structuring a global insurance program to enable the company’s multinational corporate customers to obtain commercial insurance coverage throughout the US.
  • Provides comprehensive cybersecurity and privacy compliance advice to an energy industry insurer, including on regulations by NAIC and the New York State Department of Financial Services.
  • Represented a publicly traded, international insurance group in the restructuring and consolidation of one of its US insurance divisions, including obtaining regulatory approvals for numerous mergers and redomestications and inter-affiliate transactions.
  • Represented Sompo Japan Nipponkoa Insurance as US regulatory counsel in the acquisition of Canopius.
  • Represented Fairfax Financial as US regulatory counsel in the $4.9 billion acquisition of Allied World Assurance Co. Holdings.
  • Represented Aflac Inc. as US insurance transactions and regulatory counsel on the conversion of its Japanese insurance business branch operation and the related restructuring of Aflac’s US and Japanese insurance businesses.
  • Represented Nationwide Mutual Insurance Company on its acquisition of Jefferson National Financial Corporation and its subsidiaries
