With more than 25 years of experience, Ed advises a variety of entities. 

They include lenders and borrowers (as well as entities needing Shariah-compliant Mudarabah products), lessors and lessees (as well as entities needing Shariah-compliant Ijara products), investment funds (as well as Shariah-compliant funds), business development companies (BDCs), portfolio companies, airlines, rail companies and debtors and creditors in complex debt, equity, mergers and acquisitions (M&A), restructuring and bankruptcy matters in the rail, aviation, transportation, asset finance, alternative finance and energy sectors.

Ed assists clients with domestic and cross-border financial, M&A and insolvency activities involving multicurrency, syndicated, structured, securities and distressed transactions. He also works with boards of directors, senior management and investment fund management and investment teams to advise on all aspects of their businesses and portfolio companies, including financings, M&A, investments, operations and reorganizations.

Ed’s in-depth knowledge of these topics—particularly transportation finance, investment funds, alternative lending and bankruptcy and restructuring—has him often speaking at regional, nationwide and international industry conferences.

Before attending law school, Ed was a lieutenant and naval aviator in the United States Navy. Ed is admitted to the State Bar of California, The District of Columbia Bar and The New York State Bar Association. His work is supervised by State Bar of Georgia members.

  • Represented private equity fund as deal counsel in its successful bid and acquisition of four coal-fired power plants totaling 1200 MW of generation capacity in New Jersey, West Virginia and Arkansas including back leverage financing to support the acquisition.
  • Represented DB Engineering & Consulting USA, Inc. (part of the Deutsche Bahn group) in its successful bid to build a $64 billion high-speed railway in California.
  • Represented a Japanese financial institution in connection with a $165 million syndicated financing involving collateral in eight countries, FX forward and letter of credit subfacilities, and intercreditor issues under New York, Irish and English law.
  • Represented a US helicopter financing and leasing company in a $60 million warehouse facility from Wells Fargo, Huntington Bank, and MUFG Union Bank and in a leasing transaction with a Trinidad & Tobago entity.
