Matthew has 20+ years of experience as lead counsel, advising companies and investors in connection with their most significant transactions.

Over the past two decades, he has negotiated and closed numerous corporate buyouts, mergers and acquisitions, joint ventures, investments, and strategic partnerships. Matt also negotiates a wide array of commercial agreements and provides guidance with strategic planning and corporate initiatives, corporate governance, compliance matters, dispute avoidance, and resolution. His experience covers a range of industries, with a particular emphasis in telecommunications, media, automotive and technology.  

Matt began his legal career as a litigator at an international law firm where he represented automotive and other manufacturers in high-exposure product liability cases and other complex disputes. He draws on his industry experience and deep understanding of his clients’ businesses and culture to help structure transactions and deliver commercially focused results.

  • Represented Cox Communications in acquisition of Unite Private Networks, a leading fiber-optic communications infrastructure provider.
  • Represented Cox Communications in its acquisition of the commercial enterprise and carrier business of Segra, one of the largest privately-held fiber infrastructure providers in the United States.
  • Represented a connected health and device logistics provider in the sale of its assets to a leading digital health and personalized care company.
  • Represented Cox Enterprises in the sale of its radio station portfolio (comprising fifty-four stations) and national advertising businesses to Apollo Global Management.
  • Represented a leading automotive services and technology provider in its acquisition of a cloud-based fleet software business that delivers solutions to rental car companies, car dealerships and automotive manufacturers.
  • Represented a private equity firm in connection with its acquisitions of nine television stations from a leading media company.
  • Represented Cox Media Group in its acquisition of Savings.com, an online provider of digital coupons and promotional codes.
  • Represented Autotrader.com in its acquisition of vAuto, the automotive retail industry’s leading provider of advanced software tools for used vehicle management, pricing and inventory optimization.
  • Represented a private equity firm in connection with its acquisitions of eight network owned-and- operated television stations.
  • Represented Cox Communications in its acquisition of EasyTEL Communications, a provider of voice, data and video services to commercial customers.
  • Represented an automotive service provider in its acquisition of a leading provider of transportation logistics solutions.
  • Represented Cox Communications in its strategic investment in Unite Private Networks.
  • Represented a leading automotive services and technology provider in its strategic relationships with an OEM in China and Japan.
  • Represented Unite Private Networks in its acquisition of certain former Level 3 metro network assets from CenturyLink.
  • Represented Cox Enterprises in the sale of its television station portfolio (comprising thirteen stations in ten markets across the United States) to Apollo Global Management.
  • Represented a leading media company in the sale of two newspapers and related media assets in Florida.
  • Represented a leading media company in the sale of five newspapers and related media assets in Texas.
  • Represented a leading cable operator in the sale of multiple cable television systems serving approximately 950,000 subscribers in eight states.
  • Represented Manheim, the world's leading provider of vehicle remarketing services, in its acquisition of Dealer Services Corporation, the largest independent provider of inventory (floorplan) financing to non-franchised used-car dealers in the United States.
  • Represented a leading telecommunications provider in its strategic investment in an international data center provider that serves cable operators, content providers and wireless carriers.
  • Represented Cox Communications in connection with its agreement to license a white-label version of Comcast’s X1 video platform.
  • Represented Cox Media Group in its sale of its Cox Target Media businesses (including Valpak "Blue Envelope" household mailers and Savings.com, an online provider of digital coupons and promotional codes) to Platinum Equity.
