Matt helps insurance and financial services companies on an array of strategic transactions.

Some of his work includes mergers and acquisitions and financing transactions, as well as insurance regulatory matters. 

Matt assists public and private insurance companies, broker-dealers, and investment advisors with mergers and acquisitions and strategic transactions. He has extensive experience negotiating reinsurance arrangements and life insurance reserve financing transactions, and he regularly counsels clients on related regulatory compliance matters, including risk transfer, credit for reinsurance, and insurance company act matters.

  • Represented Securian Financial Group, Inc. in the auctioned sale of its retirement plan recordkeeping business to Standard Insurance Company.
  • Represented Talcott Life in its reinsurance of a $7 billion variable annuity block from Guardian Life.
  • Advised Securian Financial Group, Inc. in entering into a definitive agreement to sell its retirement plan recordkeeping business to Standard Insurance Company.
  • Represented Horace Mann in its acquisition of Madison National Life Insurance Company.
  • Represented Empower in its acquisition of MassMutual’s retirement services business for a total transaction value of $3.35 billion.
  • Represented Empower in its acquisition of Prudential’s retirement plan business for a total transaction value of $3.55 billion.
  • Represented National Western Life Insurance Company on its reinsurance, on a coinsurance with funds withheld basis, to Bermuda-based Prosperity Life Assurance Limited.
  • Represented Munich Re Digital Partners US Holding Corporation, a member of the Munich Re Group, on its acquisition of American Digital Title Insurance Company, a Colorado-domiciled title insurance company operating in approximately 33 states.
  • Represented Voya Financial in its sale of individual life and annuity business, including Security Life of Denver, to Resolution Life Group Holdings.
  • Represented Cetera Financial Group in its acquisition of the broker-dealer and investment advisory business of Foresters Financial, including the addition of over 500 independent agents.
  • Represented Kansas City Life Insurance Company in its acquisition of Grange Life Insurance Company.
  • Represented HUB International in its acquisition of the assets of Sheridan Road Financial, a leading institutional retirement consulting and private wealth firm that manages approximately $14 billion in assets for more than 300,000 individuals
  • Represented HUB International in its acquisition of registered investment advisor GRP Financial and its constituency firms.
  • Represented Voya Financial in connection with its $1.25 billion sale of its individual life insurance business to Resolution Life.
  • Advises a medical cannabis provider on compliance with state and local regulations.
  • Represented Voya Financial in its acquisition of PenCal Administrators, Inc., a retirement services provider.
  • Represented Automobile Club of Southern California in the acquisition of 50% of Motor Club Insurance Company and in the formation of a related joint venture.
  • Assisted Warburg Pincus in the sale of its portfolio company Extant Components Group Holdings, Inc., a defense and aerospace company, for $525 million.
