Mike is a corporate mergers and acquisitions partner who also advises clients on joint ventures, critical commercial arrangements and capital raising transactions.

Mike advises clients across a broad range of industries, most frequently involving digital and technology services, building materials and other industrial products, or wholesale distribution. His clients consist of entrepreneurs, long-established public or privately held businesses, and private equity firms and their portfolio companies. Recent examples include businesses involved in cybersecurity and encryption, telemedicine platforms, electric vehicle infrastructure, aerospace manufacturing, building and construction products and food and beverage distribution. 

Whether your needs are forming a new venture and raising seed capital, acquiring or divesting an entire business or division, or negotiating a key distribution agreement or strategic alliance, Mike’s goal is to leverage his years of legal, financial and business experience to provide practical and efficient solutions to your most critical challenges. Prior to joining the firm in 2007, Mike gained valuable corporate perspective as the director of business development and marketing for a digital media and software company, and valuable financial acumen as an M&A investment banker with Merrill Lynch. 

Mike is recognized as a mentor to newer attorneys and currently serves as the firm’s hiring partner in Atlanta. In his spare time, he enjoys hiking and travelling with his family, and pushing himself as a novice race car driver.

  • Advised GEODIS, a world leader in transport and logistics headquartered in France, on entering into an agreement to acquire the US-based logistics company Need It Now Delivers.
  • Advised the Safran Group on its sale of Safran Aerosystems Arresting Company (SAA), a designer and manufacturer of military aircraft emergency arresting systems, to Curtis-Wright Corporation for $240 million in cash.
  • Represented Gypsum Management and Supply, Inc., a leading North American specialty distributor of interior building products, in the acquisition of AMES Taping Tools Holding LLC for total value of $212.5 million in cash.
  • Represented MicroCorp LLC in its sale to AppSmart.
  • Represented Safran S.A., a global tier-one supplier of systems and equipment to the aviation, defense, and space markets, on the sale of its Base2 Solutions subsidiary to Belcan, LLC.
  • Represented Automobile Protection Corporation, doing business as EasyCare, in the sale of Covideo to private equity sponsor Triangle Digital Ventures.
  • Represented Lifes2Good, a global distributor of health and beauty products, in its investment in Biogix, a California-based dietary supplement company.
  • Represented TRP Construction Group, a leading provider of traffic control solutions, in its acquisition of Tolle Roads, LLC.
  • Represented Gypsum Management and Supply in the acquisition of Hart Acoustical & Drywall Supply.
  • Represented Gypsum Management & Supply in the acquisition of certain assets of the Lyndhurst, Virginia branch of Morrison Brothers Building Center, a North Carolina building products distribution business.
  • Represented TRP Construction Group in the acquisition of 100% of the issued and outstanding membership interests of Southern States Pavement Markings, LLC.
  • Advised GMS, Inc., the largest distributor of wallboard and related building materials in the US, on its acquisition of WSB Titan, Canada’s leading independent building supplies dealer.
  • Represented Gypsum Management & Supply in the acquisition of certain assets in the Concord, California branch of Grabber Construction Products, Inc., a Nevada building products distribution business.
  • Advised a Gypsum Management and Supply, Inc. on the acquisition of ASI Building Products, LLC, a Michigan-based seller of drywall, framing tools and related products.
  • Represented Signal Holdings in the formation of Gotcha Media Holdings to provide targeted media opportunities on college campuses.
  • Represented MSouth Equity Partners in its acquisition of TRP Construction Group, a leading provider of thermoplastic striping, painting and markers, rumble strips, and traffic control services.
  • Represented Signal Outdoor Advertising, a leading provider of "out of home" advertising in more than 100 US markets, in its acquisition of Adcamp, Inc., a national leader in outdoor advertising on college campuses.
  • Represented the owner of Prime Education, Inc., a continuing medical education provider, in its sale to DW Healthcare Partners.
  • Represented the shareholders of KB Electronics, Inc., a manufacturer of AC and DC motor controls, in the sale of the company to an affiliate of Japan-based Nidec Corporation.
  • Advised the owners of the InterMed group of companies, a leading provider of maintenance and repair services for biomedical, x-ray, ultrasound and nuclear imaging systems, in their sale to Wafra Partners, LLC.
  • Advised a leading provider of aftermarket automobile services in the formation of a joint venture with a technology provider to offer private-label, mobile applications customized for dealers.
  • Advised Gypsum Management and Supply, the largest independent distributor of wallboard, acoustical and other specialty building products in the US, on the acquisition of Southwest Building Materials, a Texas construction supply business.
  • Represented SunTrust Bank in the sale of its Tallahassee-based commercial lines insurance premium finance subsidiary, Premium Assignment Corporation, to IPFS Corporation.
  • Advised Auctions Online Scandinavia (Barnebys), the leading search engine for art, antiques and collectibles, in the expansion of its US operations through the acquisition of Blue Dog Software LLC.
  • Advised Auctions Online Scandinavia (Barnebys) in the expansion of its US operations through the acquisition of Market Street Media, LLC (Collectors Weekly).
  • Advised Gypsum Management and Supply, the largest independent distributor of wallboard, acoustical and other specialty building products in the US, on the acquisition of Washington Builders Supply.
  • Represented Flextronics in its acquisition of Bose Corporation's manufacturing and design engineering operations in Mexico and Malaysia.
  • Represented Gypsum Management and Supply, Inc. in numerous transactions.
