Tom represents businesses in M&A transactions, complex commercial relationships (in particular joint ventures) and governance matters. 

For over 40 years Tom has counseled publicly-held and private companies in the acquisition and disposition of businesses, principally focusing on the diversified industrial and natural resource sectors.  Whether a merger or a purchase/sale of assets or equity, Tom can advise you across the full range of matters that arise in connection with the transfer of business enterprises.  This includes negotiating the terms of the principal transaction documents and, together with subject matter experts, navigating the antitrust, environmental, human capital, information technology, intellectual property, real property, and tax issues that inevitably arise.  Tom’s experience also includes innovative transaction structures, such as asset exchanges, joint ventures and staged acquisitions structured as joint ventures.  He represents acquirers and sellers, and both strategic and financial participants. 

As a senior member of our Timber and Forest Products Group, Tom has represented clients in purchase and sale transactions covering millions of acres of timberlands located in the U.S. and offshore.  He represents several ex-U.S. institutional investors in their ongoing investments in U.S. timberlands.  Tom counsels timberland investment management organizations (TIMOs) with respect to their day-to-day commercial matters.  He negotiates investment management agreements on behalf of both TIMOs and timberland investors.  Tom also applies his timber industry experience in representing buyers and sellers of lumber mills and other timber converting facilities

  • Advised an ex-US institutional investor in the formation of a joint venture with a US TIMO to own over 50,000 acres of US timberlands.
  • Represented an ex-US institutional investor in the acquisition of a total of over 375,000 acres of US timberlands in two separate transactions for an aggregate purchase price of $733 million.
  • Represented two ex-US institutional investor members of Red Mountain Timberlands, LLC in connection with its dissolution and its in-kind distribution of 2.2 million acres of US timberlands.
  • Represented The Forestland Group in the sale of the sawmill assets of its affiliate Anderson-Tully Lumber Company, which owns one of the largest sawmills in the United States.
  • Advised Interfor Corporation in numerous acquisitions of sawmill complexes located in the US.
  • Represented Martin Marietta Materials in acquiring Rocky Mountain Materials & Asphalt, Inc. and Rocky Mountain Premix, Inc.
