Wade advises clients on complex business transactions. 

These include mergers, acquisitions and divestitures, leveraged buyouts of public and private companies, venture capital and growth equity investments, recapitalizations, debt and equity restructurings and workouts, private equity and mezzanine fund formations, and executive compensation and equity incentive arrangements. His clients include private equity sponsors and their portfolio companies, which he represents in virtually all aspects of their business.

Wade serves as lead counsel in a wide variety of transactions, including change-in-control transactions involving stand-alone and integrated businesses of private and public companies, minority investments in private and public companies, cash and leveraged transactions, stock-for-stock mergers, going-private transactions, and senior and mezzanine debt financings. His transactions have ranged in value from several million dollars to more than $1 billion, been both domestic and cross-border, and across a wide array of industries, including regulated industries such as healthcare and financial services. He also regularly represents portfolio companies of private equity clients in all of their corporate needs, including acquisitions, financings, management incentive arrangements and general corporate counseling.

He connects entrepreneurs with investors and advises start-up companies in obtaining and negotiating angel and venture capital investments. In addition, Wade handles real estate matters, mostly centered on venture investments in, and the sale of, pooled assets in the hotel and apartment sectors.

He currently serves on Eversheds Sutherland's US Executive Committee.

  • Represented Artera Services subsidiary, Volt Power, LLC, in its acquisition of DD Grid, LLC and One Shot Reliability, LLC.
  • Represented DC Blox Inc., a data center provider in the southeast United States, in connection with its acquisition of a dark fiber route between Atlanta, Georgia and Myrtle Beach, South Carolina.
  • Represented Artera Services, LLC in connection with its acquisition, through its operating subsidiary Miller Pipeline, LLC, of 1127 Construction, Inc. and Associated Drilling Company.
  • Represented Miller Pipeline, LLC, a subsidiary of Artera Services, LLC, in its acquisition of K.R. Swerdfeger Construction, LLC, a pipeline and utility construction company based in Pueblo, Colorado.
  • Represented Rhubarb LLC in its purchase of substantially all of the assets of Access Food & Beverage, Inc., which operates a full-service catering business in New York, New Jersey and Connecticut.
  • Represented USA Television Holdings, LLC in the acquisition of a television station in Huntsville, Alabama.
  • Represented Nolan Transportation Group, a leading national provider of freight brokerage services, in connection with its sale to Transportation Insight.
  • Represented EC English in the acquisition by Study Group USA Inc. of 100% of the issued and outstanding capital stock of EC Higher Education, Inc.
  • Represented South Carolina pediatric dental practices in connection with the sale of those businesses to an Atlanta-based Dental Support Organization.
  • Represented Interior Logic Group, Inc. in its merger with Interior Specialists, Inc.
  • Represented a technology-enabled market research company in its purchase of the assets of a Hispanic market research panel with more than 8,000 registered members in the US.
  • Represented a wastewater treatment company in the acquisition of three wastewater treatment facilities.
  • Represented C&TDG Management, LLC (a portfolio company of MSouth Equity Partners) in a series of acquisitions with an aggregate purchase price exceeding $14.5 million.
  • Advised Interior Logic Group, Inc. in numerous roll-up acquisitions in the building products industry.
  • Advised MSouth Equity Partners in the acquisition and subsequent sale of Interior Logic Group, Inc.
  • Represented Power Pro-Tech Services, Inc., an independent service provider of distributed power systems, in its acquisition by a subsidiary of Southern Company.
  • Represented Interior Logic Group, a portfolio company of MSouth Equity Partners that provides customer-focused design and construction services, in its sale to Platinum Equity.
