Corporate Migration: Holding & Financing Regimes

April 2, 2009 - April 3, 2009

9th Annual Tax Planning Strategies – U.S. and Europe Conference

Sutherland Partner Carol P. Tello is speaking at the ABA’s 9th Annual Tax Planning Strategies – U.S. and Europe Conference, April 2-3, 2009, in Amsterdam. Carol is the co-chair of a panel entitled "Corporate Migration: Holding & Financing Regimes." The panel will focus on issues that arise in corporate migrations, such as exit taxes in the country of departure, anti-abuse provisions and planning possibilities. With regard to the country of arrival, the panel will discuss valuation issues of existing goodwill at the time of migration and planning possibilities. It will also address possibilities for cross-border mergers, the implications of tax treaties and new EU rules and any corporate law restrictions.

This conference is designed to address international tax issues for a wide range of practitioners, professionals and in-house international tax personnel. The program will include panels devoted to cross-border mergers and acquisitions, reorganizations and restructuring, financing, and transfer pricing. Additional panels will give special attention to tax planning for corporations affected by the global financial crisis, including topics such as restructuring and refinancing debt, and unwinding corporate transactions, as well as stock options and employee compensation issues in recessionary times.
