Karl Zeswitz, Jr. are presenting at the ALI-ABA course of study, "Partnerships, LLCs, and LLPs: Uniform Acts, Taxation, Drafting, Securities, and Bankruptcy" on July 16-18, 2009, at the Sofitel Water Tower Hotel in Chicago, Illinois. Ed’s presentation, "Partnership and LLC Agreements," will analyze sample forms of partnership agreements and LLC operating agreements and comment on drafting issues for limited liability companies. The presentation will emphasize practical problems encountered in translating clients’ sometime unarticulated goals onto paper and dealing with "hidden" issues that clients may face and will also discuss the myriad ways that a deal can break down.
Karl’s presentation, "Allocations of Partnership Income, Gains, Losses, and Liabilities," will provide an introduction to capital accounts and basic allocation and distribution concepts; an explanation of "outside" basis, loss deduction limitations and the effect of contributions, distributions, allocations of profits and loss, and allocations of partnership liabilities among other topics.
The ALI-ABA course includes an analysis of substantive partnership law under the uniform acts and the common law, an examination of LLCs and LLPs, as well as the drafting of partnership and LLC agreements. Substantial time is devoted to taxation of partnerships and dealing with financially distressed partnerships.
