American Bar Association Section of Business Law Annual Meeting
Sutherland Partner Bibb L. Strench is speaking at the American Bar Association Section of Business Law Annual Meeting, July 31-August 3, 2009, in Chicago, Illinois. Bibb’s presentation, "Series Interests in Limited Partnerships, LLCs, and Business Trusts: Cutting Edge Issues," will examine the use, legal structure, insolvency and taxation issues of LLCs, limited partnerships and business trusts that are organized with "series" interests. The series structure, currently provided in Delaware and a few other states, permits an LLC or other entity to designate a series of assets, property or obligations of the entity such that each series may have separate ownership or business purpose, and the liabilities of each series are not enforceable against the assets of any other series. Originally used as an investment concept, the series is now used by many different types of businesses.
The Annual Meeting offers attendees the chance to focus on commercial and business law issues of the day through programs devoted solely to the practice of business law. Attendees will hear from experts in business law and will receive information relevant to both themselves and their clients.
