Sutherland Attorneys Robb Chase, Adam Cohen, Kenneth Jeruchim, Doug Leary and Bill Pauls are speaking at Sutherland’s Tax Series: Mergers and Acquisitions on November 30, 2011, in Berwyn, Pennsylvania.

The presentations will include: tax considerations in negotiating and documenting M&A transactions; benefits considerations in M&A transactions; partnerships and M&A; corporate M&A developments, including an update on deal protections; and preserving tax-free treatment under Section 355.

Following the program, participants will  be able to:

  • Recognize tax planning opportunities and pitfalls in connection with merger, acquisition and spin-off transactions
  • Review tax considerations in due diligence for merger and acquisition transactions 
  • Document tax matters in an acquisition agreement 
  • Identify significant corporate considerations that may impact the tax treatment of a transaction
