Sutherland Asbill & Brennan Represents U.S. Filter Corp.

ATLANTA (February 15, 2002) – Sutherland Asbill & Brennan LLP advised U.S. Filter Corp., in its $360 million cash sale of its Filtration and Separations Group (FSG) to Pall Corp., of East Hills, NY.  U.S. Filter Corp. is a unit of Vivendi Environnement SA.  The deal is expected to close in March 2002.

FSG designs, manufactures and sells products that separate and purify liquids and gases for the food and beverage, biotech and pharmaceutical industries.  US Filter is North America's largest water company.

The auction transaction involved nearly 40 companies spread throughout Europe, Asia, Australia and North America.  The Sutherland team -- led by Mark Wasserman in Atlanta and also including Marc Rawls, Andi Hayworth and Reggie Clark -- coordinated counsel around the world, organized and ran an online data room for the transaction, negotiated the final sale agreement and partnered with the US Filter in-house legal and acquisition team to handle the deal.

Lazard (Albert Garner/Donald Fawcett/Ian Conner) was U.S. Filter's investment adviser.  Carter, Ledyard & Milburn (Heywood Shelley/Bob McTamaney) was Pall Corp.'s outside counsel on the deal and UBS Warburg (Andrew Horrocks/Hugh O'Hare) was their investment adviser.


Target:  Filtration and Separations Group of U.S. Filter Corp.

Acquirer:  Pall Corp.

Value:  $360 Million (Cash)

Date Deal Closed:  Expected March 2002
