Benjamin Rajabi counsels a broad array of clients in the energy sector in transactional matters. He regularly represents energy providers, commodity trading firms, project developers, public companies, retail electric providers, pipeline operators, electric and gas utilities, cooperatives and other energy industry participants in a wide range of transactions. Ben has significant experience in mergers and acquisitions, joint ventures, renewable energy projects, power purchase agreements, construction agreements, and midstream projects related to natural gas (including liquefied natural gas (LNG) and compressed natural gas (CNG)), crude oil and natural gas liquids.

Prior to joining Eversheds Sutherland (US), Benjamin held associate and summer associate positions with several firms in Houston, where he gained experience in corporate and securities matters. He also served as a judicial intern for the Honorable George C. Hanks with the First Court of Appeals of Texas.

Recent representative matters in which Ben has advised clients include:

  • Represented Magnolia LNG regarding its development of an LNG export terminal, including its multi-billion-dollar engineering, procurement and construction (EPC) and operations and maintenance agreements, and a wide range of other project development and financing-related matters.
  • Represented Freepoint Commodities LLC in its acquisition of a 20% interest in certain storage terminals and refining units at the former Hovensa refinery in the U.S. Virgin Islands from ArcLight Capital Partners, LLC.
  • Represented Enbridge Inc. in the negotiation of a turbine supply agreement and a balance of plant agreement for a 103-megawatt wind farm located in West Virginia.
  • Represented a midstream gas processor in a long-term, gas gathering and processing agreement related to certain properties in the STACK play in Oklahoma.
  • Represented an Oklahoma cooperative in the sale of an intrastate pipeline and related assets, including negotiation of a related transportation agreement, access and easement agreements, a transition services agreement and a construction agreement for metering facilities.
  • Represented the commodity arm of a multi-national investment bank in multiple-billion-dollar, long-term, prepaid natural gas sales agreements.
  • Represented an offtaker at a combined cycle power plant regarding the construction of a natural gas pipeline to bypass a local distribution company.
