Daren advises property/casualty and life insurance company clients on regulatory compliance, insurance and reinsurance transactions and corporate governance matters.
He advises his clients on a wide range of regulatory issues, including formation and licensing of insurers and insurance intermediaries, market conduct, compliance with state insurance laws governing non-admitted insurance, redomestications, the Holding Company Act, credit for reinsurance, investment law compliance and regulatory issues related to Insurtech. He also represents his clients in connection with internal investigations and regulatory enforcement actions.
- Represented Mutual of America Life Insurance Company, a New York domestic mutual life and annuity insurer, on its acquisition of 100% of the stock of Grandmark Funds, Inc. and its wholly owned subsidiary, Landmark Life Insurance Company.
- Represented Empower in its acquisition of Prudential’s retirement plan business for a total transaction value of $3.55 billion.
- Advised Symetra Financial Corporation on the sale of its wholly owned subsidiary, Medical Risk Managers, Inc., a managing general underwriter and health care consulting firm, to BCS Financial Corporation.
- Represented Munich American Reassurance Company and Munich Re New Ventures in establishing Parachute Digital Solutions, an end-to-end insurance platform for digital marketing and sale of insurance products throughout the US.
- Advised Nationwide Mutual Insurance Company on a joint venture transaction with Generali, one of the largest international insurance and asset management providers headquartered in Italy.
