Frank Comparetto III

Counsel

Frank advises multinational clients on domestic and international tax planning and transactional matters. 

These matters include corporate and partnership restructurings, taxable and nontaxable mergers and acquisitions, and related financing. He also assists clients with complex tax laws and regulations, defending and negotiating for taxpayers in disputes with the Internal Revenue Service and other tax agencies and boards.

Prior to joining Eversheds Sutherland, Frank worked for a Big Four accounting firm, where he focused on domestic and cross-border mergers and acquisitions, and advised clients on tax-efficient structuring and tax due diligence. His experience includes testing Subchapter S qualifications and counseling corporations on Subpart F income planning and joint ventures. Additionally, his previous experience includes serving as a law clerk for a natural gas and electric company and as an intern for the Thirteenth Judicial Circuit in Hillsborough County, Florida.

  • Represented IGM Financial, one of Canada's largest diversified wealth and asset management companies, in its purchase of an approximately 20.5 percent equity interest in Rockefeller Capital Management, for consideration of approximately $622 million.
  • Advised GEODIS, a world leader in transport and logistics headquartered in France, on entering into an agreement to acquire the US-based logistics company Need It Now Delivers.
  • Represented TRP Construction Group, a leading provider of traffic control solutions, in its acquisition of Tolle Roads, LLC.
  • Represented Columbia Care Inc. in its public listing on the Canadian NEO Stock Exchange, making it the first company with an enterprise value of more than $1 billion to list on the NEO.
  • Represented SSM Partners in its acquisition of Kukui Corporation.
  • Represented TRP Construction Group in the acquisition of 100% of the issued and outstanding membership interests of Southern States Pavement Markings, LLC.
