Steve represents banking and financial institutions and multinational companies. 

He focuses on financing transactions, corporate governance, cross-border commercial transactions, mergers and acquisitions, and project developments.

Steve has significant experience in advising both lenders and corporate borrowers in secured and unsecured commercial lending transactions, including asset-based lending, lines of credit, working capital and leveraged acquisition financings, equipment financings, loan syndications and participations, senior, second lien and subordinated financings.

His clients include multinationals, particularly in the automotive and real estate sectors, with an emphasis on Korean investors and clients who extend credit for Korean and other corporate borrowers in the United States. Steve also has experience in the origination and restructuring of commercial loans and senior mortgage and mezzanine loans.

Additionally, Steve has extensive experience in EB-5 financing matters. He has represented a wide range of regional, centers, project developers, and other sponsors in EB-5 securities offerings and other aspects of the federal program. 

Prior to joining Eversheds Sutherland, Steve was a partner in the Finance practice of a major US firm where he also led the firm’s EB-5 Practice Group and served as the Co-Leader of the firm’s Asian American Business Resource Group.

  • Represented a public company in a $63.25 million follow-on public offering.
  • Represented a public REIT in a $9.1 million special distribution that paid 20 percent in cash and 80 percent in stock.
  • Represented a public company in preparing its proxy statement for a special shareholders meeting to approve its acquisition by another public company for $62 million.
  • Represented a hedge fund in its proxy fight to elect three directors to the board of a public cellular communications.
  • Represented multiple regional center clients from formation of regional center entity through filing of I-924 and application for Regional Center Designation, under EB-5 investment program.
  • Counseled a Tier 1 automotive parts manufacturer and led an EB-5 financing team to prepare securities offering materials and negotiate loan documents for a $30 million EB-5 offering to foreign investors to fund expansion of manufacturing facilities.
  • Represented an EB-5 regional center sponsor in a $50 million EB-5 private offering to foreign investors to fund development of a new $250 million mixed-use development project and negotiated preferred equity financing documents.
  • Represented an EB-5 regional center sponsor in a $200 million EB-5 private offering to foreign investors to fund construction of a large-scale infrastructure project.
  • Advised automotive parts manufacturing companies in connection with evaluating various financing solutions under the Main Street Lending Program.
  • Advised private equity funds in connection with evaluating various financing solutions under the Main Street Lending Program for their portfolio companies.
  • Represented a community bank in connection with multi-tranche credit facilities, including a $13 million Main Street Priority Loan facility secured by all equipment and titled vehicles of a borrower and its subsidiaries.
  • Represented a community bank in connection with three transactions involving varying amounts of Main Street Priority Loan facilities, consisting of $6 million, $18 million and $10 million.
  • Represented a senior secured lender in senior secured refinancing credit facility consisting of equipment and real estate term loans with junior secured lenders.
  • Represented participating lenders in various large syndicated financings for commercial real estate and energy development projects.
  • Represented a borrower in connection with $50 million senior secured financing for film and chemical products manufacturing facility.
  • Represented a US corporate issuer in a $40 million US dollar denominated guaranteed floating rate notes issuance in South Korea market.
  • Represented an international agent bank and syndicate of lenders as US local counsel in a $150 million senior secured financing for development of new solar panel module manufacturing facility.
  • Represented a lender in connection with a $34 million senior secured credit facility for manufacturer of steel cord and bead wire used in production of vehicle tires.
  • Represented a participating lender in a mortgage syndication loan of $133 million for a large real estate asset in Brooklyn.
  • Represented a participating lender in a mortgage syndication loan of $900 million for a large real estate asset in New York City.
  • Represented a participating lender in a mortgage syndication loan of $556 million for a large real estate asset in Boston.
  • Represented a participating lender in two secured loans, totaling $43 million, to finance two aircrafts for one of the major airlines.
  • Represented a Korean bank to provide a mortgage syndication loan of $43 million and a mezzanine loan of $13 million for the acquisition of a boutique hotel in Los Angeles.
  • Represented a Korean bank to provide a mortgage syndication loan of more than $220 million to an S&P 500 public REIT for several real estate assets in New York.
